License Agreement

Welcome to Once UI, your go-to destination for design resources! This section outlines some key terms to help you navigate our offerings and understand your rights and responsibilities.

This agreement ("Agreement") is made between the user ("You") and Lorant Toth e.v. ("Licensor") regarding the use of the Once UI Essential or Once UI Complete product ("Design System"). By downloading and using the Design System, You agree to be bound by the terms and conditions of this Agreement.

Terms

Editor: Anyone who tweaks, adjusts, or personalizes components, styles, and variables within an original or modified instance of Once UI. This includes both design system designers shaping the system and product designers utilizing the system in their work.
Obtaining a Product: Ensure you’re getting your Once UI products directly from our official store here. This is crucial to guarantee you’re receiving authentic and up-to-date resources.
Management of Transactions: We’ve partnered with Lemon Squeezy to streamline your experience for purchasing, refunds, and affiliate interactions. You can learn more about their services here.
Commercial Use: Using Once UI for business and revenue-generating activities is allowed as long as you adhere to our licensing terms.
Modified Version: An instance of Once UI that you’ve customized or extended, or any file where you’ve integrated styles, variables, or components from Once UI.
Re-distribution: Selling a Modified Version of Once UI to a client is especially common for freelancers or agencies. Just ensure all licensing requirements are met.

Products

Once UI Essential

Contents: A single .fig (Figma) file for the Design System and a .fig (Figma) file containing the Material Design Icons, accompanied by the license agreement.
Usage: Suitable for commercial use by individuals or NGOs. Teams with more than one editor are required to upgrade to a Team license.
Distribution: To preserve the integrity of Once UI, neither the original nor any modified versions of this product should be redistributed. This also applies to individual elements of Once UI, such as styles, variables, and components; these should not be included in any other distributable file or library.

Once UI Complete

Solo License Applicability:
Exclusively for individual use, such as freelancers or founding designers.

Team License Applicability:
Designed for teams comprising up to four editors. Extendable with Extra Seats.

Contents: A .fig (Figma) file for the Design System, a .fig (Figma) file containing the Material Design Icons and a .css (CSS) bundle, accompanied by the license agreement.
Distribution Restrictions: The original version of this product, as well as its individual components, should not be redistributed. This includes styles, variables, and components, which should not be included in any other distributable file or library.
Modified Versions: While modified versions of this product should not be redistributed through marketplaces or online stores, they can be redistributed if the client possesses the appropriate licenses (either a Solo license for individuals or a Team license with additional seats if necessary).
License Requirements for Redistribution: Both the seller and the client must possess the appropriate licenses in cases of redistribution. If you’re in the role of redistributor, it falls on you to make sure your client knows about and sticks to these license requirements upon delivery. You can handle the license for your client if that’s what you prefer, but then it’s on you to keep track of the number of editors and any extra seats needed. Immediate purchase of the required licenses is mandatory if these obligations are not met. For instance, if an agency with 5 designers (requiring a Team license + 1 Extra seat) delivers a Once UI-based design solution to an organization needing it for 10 designers, the organization must secure a Team license + 6 Extra seats at the time of delivery.
Notification: We recommend notifying us if you intend to redistribute Once UI, to ensure all licensing compliance is in order.
Usage Rights: Ownership of a Complete version (be it a Solo license or a Team license) grants you the right to use Once UI commercially, regardless of whether your subscription is active.
Subscription and Updates: Maintaining an active subscription guarantees your access to all upcoming updates, with a consistent rollout of four major releases each year. Feel free to cancel your subscription at any point; rest assured, you will continue to receive updates until the end of your current billing cycle. Additionally, an active subscription secures your yearly rate, ensuring that any future price increases will not affect your current subscription cost.

Extra Seat

Contents: This product is an extension to the Team license and does not come with any downloadable documents, but a license key.
Purpose: Acquire additional seats when your team surpasses the four-editor limit of the Team license. Seats are available for purchase in bulk, ranging from one to nine. Purchase as many as necessary, even in different quantities.
Subscription: This is a subscription-based product, subject to yearly renewal. Please note, if you decide to cancel your Team license, it is crucial to also cancel any Extra Seat subscriptions to avoid unnecessary charges. Be aware that upon cancellation, your team will no longer receive updates after the current billing period concludes.
Note: A Team license is mandatory for up to four editors and cannot be substituted with an individual license and additional seats.

Warranty & Refunds

Scope: This guarantee applies solely to your initial payment; recurring payments are not eligible for refunds.
Post-Refund Obligations: Once your refund is successfully processed, you must cease using Once UI immediately. This includes deleting the original file, any copies of it, and any files utilizing Once UI. Alternatively, you must remove all styles, tokens, and components from these files.
Initiating a Refund: To start the refund process, please use the email address associated with your purchase. We kindly request that you provide a brief explanation for the refund. This won’t impact the refund process; it’s purely for our internal feedback and improvement purposes.
Refund Processing Time: After receiving your email, we will initiate the refund within two business days. The amount refunded will be the amount you paid for the product, including any applied discounts. Rest assured, we will respond to your email before proceeding with the refund.
Refunds Post Money-Back Guarantee: Unfortunately, we are unable to offer refunds after the money-back guarantee period has expired. If you find yourself dissatisfied with the product, please reach out to us at contact link, and we will do our utmost to find a satisfactory solution.

Standard Money-Back Guarantee

Eligibility: Available to all customers who have made a purchase through our official store.
Time Frame: You must initiate the refund within 30 days of your purchase.

Extended Money-Back Guarantee

Eligibility: Exclusive to customers who have purchased a Solo license directly from us (not applicable to affiliate purchases).
Time Frame: You must initiate the refund within 180 days of your purchase.

Affiliates

Commission: Affiliates earn a 30% commission when a customer makes a purchase through their referral link.
Terms and Conditions: All affiliate activities are subject to the terms and conditions set forth by Lemon Squeezy, which can be found here.

Legacy Licenses

Users who purchased Once UI before October 30, 2023, are entitled to a Legacy License. This special license grants access to all future updates and enhancements of the product at no additional cost. Legacy Licenses are not subscription-based, ensuring that users who purchased under this agreement have secured access to all future developments of Once UI as part of their initial flat fee payment.

All other terms and conditions of this license agreement, including restrictions on re-distribution, apply to Legacy Licenses. Users holding a Legacy License must adhere to the same usage and distribution limitations as outlined in the rest of this agreement.

Please be aware that this Legacy License policy applies exclusively to purchases made on or before the specified date. Purchases made on or after October 30, 2023, will fall under our standard subscription-based licensing model.

Updates

This license is perpetual and applies to all versions and updates of the Design System, subject to change for future purchases. Licensor reserves the right to terminate this Agreement if You breach any of its terms.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Hungary, without regard to its conflict of law provisions.

Material Icons

The Design System includes Google's Material Design Icons set, which is licensed under Apache License 2.0.

Agreement

This Agreement constitutes the entire agreement between You and Licensor with respect to the Design System. By using the Design System, You acknowledge that You have read this Agreement, understand it, and agree to be bound by its terms and conditions.
